Terms of Service

Myra — Effective date: [Effective date — set at publication]

These terms govern your use of Myra, provided by [Legal entity name — pending incorporation](“Myra”, “we”, “us”). By creating an account or using the service, you agree to them. Please also read our Privacy Policy, which forms part of these terms.

1. The service

Myra is a communications assistant that connects to accounts you choose and helps you organise and act on your email, calendar, contacts and messages. We may add, change or remove features over time. We aim to keep the service available and reliable, but we provide it on an “as available” basis and do not guarantee uninterrupted access.

2. Your account

You must provide accurate account information and keep your login secure. You are responsible for activity under your account. You must be old enough to form a binding contract in your jurisdiction, and you may not use Myra if we are barred from providing it to you under applicable law.

3. Acceptable use

You agree to use Myra only for lawful purposes and only with accounts and data you are entitled to access. You must not use Myra to send unlawful, deceptive or bulk unsolicited messages, to infringe the rights of others, to attempt to breach the security of the service, or in any way that violates the terms of a connected service (for example the terms of a messaging platform you connect). We may suspend accounts that put the service or other users at risk.

4. Accounts you connect

When you connect a third-party account (such as Gmail, Microsoft 365, iCloud or WhatsApp), you authorise Myra to access it on your behalf to provide the features you use. Your use of those accounts remains subject to the providers’ own terms. Some connections — messaging platforms in particular — are not officially supported by the provider for third-party access and carry a risk to your account with that provider, as described in our Privacy Policy. You may disconnect any account at any time.

5. Subscriptions, trials and billing

Paid plans are billed through our payment provider, Paddle, acting as merchant of record. Where we offer a free trial, we will tell you its length and, if a payment method is required, when billing begins; you may cancel before the trial ends to avoid being charged. Subscriptions renew for successive periods until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Prices, taxes and any refund terms are shown at checkout and handled by Paddle.

6. Your content and our intellectual property

Your data and the content you connect or create remain yours. You grant us only the permission needed to operate the service for you — to store, process and display your content to provide the features you use. We do not sell your data and we do not use your content to train generalised AI models. The Myra software, brand and design are ours and are protected by intellectual-property law; these terms do not transfer any of our rights to you.

7. Disclaimers

Myra includes assistant features that generate suggestions, drafts and classifications. These can be imperfect, and you are responsible for reviewing anything before you send or act on it. To the extent permitted by law, the service is provided without warranties of any kind, and we do not warrant that it will be error-free or that its outputs will be accurate.

8. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential loss, or for loss of data, profits or goodwill. Nothing in these terms limits liability that cannot be limited by law. Where liability may be limited, our total liability is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

9. Termination

You may stop using Myra and delete your account at any time. We may suspend or end your access if you breach these terms or if we must do so to comply with law or protect the service. On termination, your right to use the service ends; you may export your data beforehand, and your content is handled as described in our Privacy Policy.

10. Changes, governing law and disputes

We may update these terms; we will notify you of material changes before they take effect, and continued use afterwards means you accept the updated terms. These terms are governed by the laws of the United Arab Emirates, and any dispute arising from them or from your use of Myra is subject to the exclusive jurisdiction of the courts of the United Arab Emirates, without regard to conflict-of-law rules. Questions: legal@getmyra.com. Postal: [Registered address — pending incorporation].

11. General

These terms, together with our Privacy Policy, are the entire agreement between you and us regarding Myra and replace any earlier understanding. If any provision is found unenforceable, the rest remain in force. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours in connection with a merger, acquisition or sale of assets, on notice to you. Neither party is liable for a failure to perform caused by events beyond its reasonable control. You agree to indemnify us against claims arising from your misuse of the service or breach of these terms, to the extent permitted by law. We will send notices to the email on your account; you may reach us at legal@getmyra.com.
